There are cases in which you want to or need to have two directors to run a company, you and another person. If you run a small business, then you often end up borrowing someone's name instead of appointing one of your trusted senior employees a director. You may need his/her signature occasionally; you may need him to be at a certain place occasionally. However, you are the owner of the company and you own 100% of shares. In this case, how much information should you share with this other director?

There is no legal 'need' to have two directors unless you have a poorly drafted set of M&A. What reasons would you like to offer for 'wanting' two?
